Terms of Service

1. Acceptance of Terms

By using HVAC Parts Connect ("the Service") — including our website, mobile app, and SMS ordering line — you agree to these Terms of Service. If you do not agree, please do not use the Service.

These Terms are between you ("Customer") and HVAC Parts Connect ("we," "us," or "our"), a Phoenix, Arizona-based parts brokerage service.

2. The Service

HVAC Parts Connect sources and delivers HVAC parts to licensed contractors in the Phoenix metro area. We act as a brokerage between you and parts suppliers, and we coordinate same-day or next-day delivery via courier services such as Uber Direct.

The Service is intended for use by licensed HVAC professionals and businesses. By using the Service, you represent that you are authorized to make purchases on behalf of your business.

3. Orders and Quotes

Quotes are valid for 24 hours unless otherwise stated. An order is confirmed when you accept the quote (via SMS reply, app confirmation, or email reply). Once confirmed, we will source the part and dispatch delivery as agreed.

We make commercially reasonable efforts to verify part numbers, pricing, and stock availability with our supplier network, but we cannot guarantee accuracy of supplier data. If a part turns out to be unavailable or mispriced after order confirmation, we will contact you immediately to revise or cancel.

4. Pricing and Payment

All prices are quoted in U.S. dollars and include applicable delivery charges. Sales tax may apply.

Invoices are issued upon delivery and are due net 15 days from the invoice date unless otherwise agreed in writing. Payment is processed through Stripe and may be made via credit/debit card or ACH bank transfer.

Late payments may accrue a 1.5% monthly service fee (18% APR) or the maximum allowed by Arizona law, whichever is lower. We reserve the right to suspend service for accounts with overdue balances.

5. Delivery

Delivery times are estimates, not guarantees. While we work hard to meet promised same-day and next-day windows, delays may occur due to courier availability, supplier stock, weather, or traffic. We are not liable for incidental losses caused by delivery delays.

Risk of loss transfers to you upon delivery to the address you provide. If no one is available to receive the delivery, the courier may leave parts at the door at their discretion.

6. Returns and Warranty

Parts are sold subject to the manufacturer's warranty. We do not provide additional warranties and disclaim all implied warranties to the extent permitted by law.

Returns: Unused, unopened parts may be returned within 14 days of delivery for store credit or refund, subject to a restocking fee equal to any non-refundable charges from the original supplier (typically 15–25%). Special-order parts, electrical components, and refrigerants are non-returnable. Return shipping is the customer's responsibility unless we shipped the wrong part.

7. SMS Communications

By providing your mobile number or texting our business line, you consent to receive transactional SMS messages from HVAC Parts Connect related to your orders, quotes, deliveries, and invoices. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help.

8. Account Security

You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at support@hvacpartsconnect.com if you suspect unauthorized access.

9. Limitation of Liability

To the maximum extent permitted by law, HVAC Parts Connect's total liability for any claim arising from or relating to the Service is limited to the amount you paid us in the 90 days preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, business interruption, or job-site delays.

10. Indemnification

You agree to indemnify and hold harmless HVAC Parts Connect from any claims arising from your misuse of the Service, violation of these Terms, or infringement of third party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms, non-payment, or any conduct we determine to be harmful to the Service or other users. You may close your account at any time by emailing us.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. Any dispute arising from the Service shall be resolved in the state or federal courts located in Maricopa County, Arizona.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to active customers. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
